M&A Full Audit · Buy-side

Independent diligence for a solar or storage acquisition.

Before you sign, get the numbers checked by someone who rebuilds them from scratch. We map the data room, grade what is missing, and re-derive the financial model, so you inherit a clear view, not the seller's spreadsheet errors.

Fixed fee, quoted up front. From $35k, depending on data-room scope.
What you get

Six deliverables.

The same package that ships on every engagement.

Data-room index & grade

Your data room, mapped against a development framework of more than 500 executable development tasks: present, missing, or stale, with a completeness grade per stage gate.

Gap analysis

Every gap flagged against the gate that governs it, so you know what is unresolved and what it blocks.

Re-derived financial model

A deterministic engine independently rebuilds the project economics and stresses the seller's IRR, DSCR, and ITC claims.

Findings report

The material issues, ranked, with the evidence and the deal consequence for each.

Deal model workbook

A clean, auditable workbook you keep, with every assumption sourced or flagged.

Executive memo

The board-ready synthesis: what we found, what it means, and what we would resolve before close.

How it works

From NDA to delivery.

1

Sign the NDA

A mutual NDA, signed before anything is shared, by either side.

2

Scope the engagement

Project basics, deal stage, and timeline. We quote a fixed fee up front.

3

Scoped, read-only access

Read-only access to your data room. Working copies stay under SUIO custody controls and are returned or deleted at close.

4

Deposit & kickoff

Classify, extract, re-derive, review. The start date is fixed at scoping.

5

Delivery

Six deliverables, human-reviewed and shipped. We walk you through the findings.

Why this, not a spreadsheet review

We rebuild the model. We do not inherit it.

Before relying on a seller's model, we open every tab and recalculate its headline results from its own formulas. Then we rebuild the project economics independently from the underlying facts, so an optimistic degradation rate or a mis-stated ITC basis surfaces as a number, not a footnote.

Pricing is fixed-fee, not hourly. You know the cost before we start, and there is no meter running while we work.

Illustrative example (synthetic)

What a finding changes.

A synthetic example, not client work, showing how one discrepancy becomes a decision.

The evidence

The sources-and-uses tab carries $142.0M of capital cost. The tax-depreciation tab carries $138.5M. Nothing in the model reconciles the two.

The reconciliation

The $3.5M gap traces to gen-tie and project-substation costs left out of the tax basis. Recalculated from the model's own formulas, the result is reproducible line by line.

The consequence

If those costs qualify as energy property, the 30% credit is understated by $1.05M. If they do not, the sources-and-uses tab overstates eligible cost. Either way, price and the tax-equity sizing move.

What closes it

The seller produces the interconnection agreement and the cost-segregation study before signing. Until then, the finding stays open, with an owner and a deadline.

Questions

Common questions.

How much does it cost?

From $35k, fixed-fee, for the full audit. The exact fee is quoted up front once the data-room scope is known. Individual modules are available a la carte.

How long does it take?

It depends on data-room size and deal stage. We commit to a timeline at scoping, before you deposit.

Do you keep our documents?

Only for the engagement. Access is read-only, working copies stay under SUIO custody controls, and they are returned or deleted at close.

What if the data room is thin?

That is a finding, not a blocker. A gap-heavy data room is exactly what the completeness grade is for.

Have an acquisition on the table?

A mutual NDA, signed before anything is shared.
